Nera VPN Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nera VPN's website, mobile apps, desktop apps, and related services (collectively, the "Services"), operated by Vio Holdings LLC ("Nera VPN," "we," "our," or "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. How the Service Works
Nera VPN operates on a no-account, code-based architecture. Instead of a username/password account, you receive a subscription code that serves as your credential.
You are responsible for:
- Keeping your subscription code secure.
- All activity that occurs under your subscription code.
- Not sharing your code beyond permitted device limits.
Because Nera VPN does not collect personal identifiers, we may be unable to recover lost or stolen subscription codes. Loss of your code may result in loss of access to remaining subscription time.
3. Subscription and Billing
Plans. Nera VPN offers subscription plans with terms presented at checkout. Pricing is shown at time of purchase.
Payment. Payments are processed by third-party processors including Stripe and Paddle. For purchases made through app stores (Google Play or Apple App Store), billing is handled by Google or Apple under their own terms. We do not store full payment card details.
Renewals. Whether a purchase is one-time or auto-renewing is shown at checkout. If auto-renewing, billing and cancellation controls are managed by the applicable payment provider or app store.
No Refunds. All purchases are final and non-refundable, except where required by applicable law. Because Nera VPN operates without identity-based accounts, ownership verification and post-purchase reversal options may be limited.
Expiration. When a subscription expires, VPN access is deactivated until the subscription is renewed or topped up through an available purchase path.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws.
You may not use the Services to:
- Engage in illegal activity, including unauthorized access, fraud, or distribution of illegal content.
- Distribute malware, spyware, ransomware, or other malicious code.
- Conduct denial-of-service attacks or network abuse.
- Harvest or scrape data without authorization.
- Resell or redistribute access without express written permission.
- Use the Services in a way that degrades service for others.
We may suspend or terminate access for violations of this section, without refund where legally permitted.
5. Device Limits
Each subscription plan includes a maximum number of simultaneous device connections as specified at the time of purchase (currently up to 5 simultaneous connections unless otherwise stated). Exceeding this limit may result in connection refusal or subscription suspension.
6. Intellectual Property
All content, branding, software, and technology associated with the Services are owned by or licensed to Vio Holdings LLC and protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

7. Privacy
Your use of the Services is also governed by our Privacy Policy, available at neravpn.com/legal/privacy. The Privacy Policy is incorporated into these Terms by reference.
8. No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIO HOLDINGS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Vio Holdings LLC and its affiliates, officers, employees, and agents from claims and expenses arising out of your misuse of the Services or violation of these Terms.
11. Termination
We may suspend or terminate access to a subscription code if we reasonably believe it is used in violation of these Terms, applicable law, or in a way that harms the network or other users.
You may stop using the Services at any time. Due to the no-account architecture, there is no account deletion workflow.
12. Changes to These Terms
We may update these Terms from time to time. We will update the "Effective" date above when changes are posted. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
Any dispute not resolved informally shall be submitted to binding arbitration under AAA rules, in English, in the State of Florida, unless applicable law provides otherwise. Each party bears its own costs unless the arbitrator determines otherwise. Nothing prevents either party from seeking injunctive relief in court.
To the extent permitted by law, you waive any right to participate in class actions or class-wide arbitration.
14. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vio Holdings LLC regarding the Services and supersede prior agreements on the same subject.
